Registered Agent Changes & Resignations


Online filing normally takes less than 1 business day. Please allow 7-10 business days for the processing of any filings received by mail. Online registration is the preferred method. There is no extra fee for online filing.

 

The only qualification to be a registered agent is that the agent has a street and mailing address located in Vermont. A registered agent may be either:

  • An individual person
  • A business or nonprofit entity (i.e. not an assumed business name), other than the represented business itself, that is registered and active with this office. Please verify business status via our business search.

Change of Registered Agent

A Change of Registered Agent or Registered Agent Change is used to update one or more of the following on your business, nonprofit, assumed business name, or telemarketer registration:

  • The registered agent.
  • The physical address of your registered agent (a.k.a. the Registered Office).
  • The mailing address of your registered agent.
  • The email address of your registered agent.

Agent Resignations

If you are currently on record with the Office of the Secretary of State as the registered agent of a business, nonprofit, or registrant of an assumed business name or telemarketer and no longer choose to be, you may either:

  • Resign directly with the business or nonprofit entity, requesting that the entity file the necessary Change of Registered Agent form as outlined above,

    or
  • The registered agent may file a Statement of Resignation directly with the Office of the Secretary of State to be removed as the registered agent on public record.

Agent resignations are effective by statute on the 31st day after the resignation is received by Secretary of State. Should a new registered agent not be appointed within this time, the business will lose its good standing, resulting in a Terminated status, until such time as a new agent is appointed.

Service of process is the procedure by which notice of initial legal action is served on an individual or business entity being served.

Appointment as registered agent neither confers nor implies:

  • authority to sign documents on behalf of a business entity or the registrant(s) of an assumed business name
  • liability for business conducted by the business entity, or by the registrants of an assumed name as the assumed business name
